1. Scope of Application
1.1 Pinetco GmbH, Clausewitzstr. 21, 42389 Wuppertal, registered with Amtsgericht Wuppertal under HRB 27549, represented by the managing director Pascal Kremp – hereinafter "Pinetco" –, is the operator of the PDF CreateMate platform (hereinafter "Platform"). Pinetco provides document and PDF generation services for HubSpot users. The following general terms of use apply to the use of the Platform and its services.
1.2 Deviating terms and conditions of the user shall not become part of the contract, even if Pinetco does not expressly object to them in individual cases.
2. Registration, Contract Formation
2.1 Registration is required to access all functions of the Platform. Users may register by connecting their HubSpot account via HubSpot's authorization process (OAuth) or by completing the provided registration form. By registering, the user agrees to the applicable terms of use and the privacy policy. Upon registration, a contract for the use of the Platform is established with Pinetco.
2.2 The conclusion of a user contract may result in payment obligations for the user depending on the selected usage and features. Users will be clearly informed of any costs before they arise.
2.3 By registering, the user confirms that they are authorized to act on behalf of their organization if applicable, and that the information provided during registration is accurate and complete.
3. Services
3.1 Pinetco provides a document and PDF generation platform that integrates with HubSpot. The Platform enables users to:
- Create and manage document templates
- Generate personalized documents by merging data from connected third-party services into templates
- Automate document generation through supported integrations and workflows
- Optionally sync or attach generated documents to connected third-party services
- Access additional document features as made available through the Platform
3.2 Available features vary depending on the user's configuration and credit balance. Certain optional features may incur additional credit costs per document generated. The applicable features and their credit costs are displayed within the Platform.
3.3 Pinetco does not permanently store generated documents. Documents are generated on demand and delivered to the user or synced to the user's configured third-party services (e.g., HubSpot, Google Drive). It is the user's sole responsibility to download, save, or otherwise retain copies of generated documents.
3.4 Pinetco strives to maintain high availability but does not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.
4. User Obligations
4.1 In the event of disruptions in the use of the Platform, the user shall immediately inform Pinetco of these disruptions.
4.2 The user shall inform Pinetco in a timely manner of changes to their contact details at least in text form (email).
4.3 The user is responsible for maintaining the security of their account credentials, API keys, and access tokens, and for all activities that occur under their account. The user shall not share account credentials or API keys with unauthorized third parties.
4.4 The user agrees not to use the Platform for any illegal purposes or in violation of HubSpot's terms of service. In particular, the user shall not use the Platform to:
- Generate forged, fraudulent, or misleading documents
- Impersonate other persons or organizations in generated documents
- Produce documents intended for mass unsolicited distribution (spam)
- Process data that the user is not authorized to access or use
4.5 The user shall not attempt to reverse-engineer, decompile, or disassemble any part of the Platform, nor circumvent any technical limitations or security measures.
4.6 The user shall not use the Platform in a manner that could impair, overburden, or compromise the Platform's infrastructure, including but not limited to automated scripts that exceed reasonable usage patterns.
4.7 Where an organization has multiple users, the account owner or administrator is responsible for the actions of all users within their organization and for ensuring that all users comply with these terms.
5. Intellectual Property and Content Responsibility
5.1 The user retains full ownership of all templates uploaded to the Platform and all documents generated through the Platform. Pinetco claims no ownership rights over user-created content.
5.2 The user grants Pinetco a limited, non-exclusive license to process, render, and temporarily store uploaded templates and associated data solely for the purpose of providing the document generation service.
5.3 The user is solely responsible for the content of their templates and generated documents. The user warrants that their use of the Platform does not infringe upon the intellectual property rights, privacy rights, or any other rights of third parties.
5.4 The user shall not use the Platform to generate documents containing illegal, defamatory, discriminatory, or otherwise harmful content. Pinetco reserves the right to suspend or terminate accounts that violate this provision.
5.5 All intellectual property rights in the Platform itself, including its design, software, trademarks, and documentation, remain the exclusive property of Pinetco.
6. Third-Party Integrations
6.1 The Platform integrates with third-party services, including but not limited to HubSpot and Google Drive. By using these integrations, the user authorizes Pinetco to access, retrieve, and transmit data between the Platform and the connected third-party services on the user's behalf.
6.2 The user is responsible for maintaining valid authorizations and access permissions with all connected third-party services. Pinetco is not responsible for service interruptions or data loss caused by revoked permissions, expired tokens, or changes to third-party service APIs.
6.3 The user's use of third-party services remains subject to the respective terms of service and privacy policies of those third-party providers. Pinetco is not liable for the practices, policies, or availability of third-party services.
6.4 Pinetco may add, modify, or discontinue integrations with third-party services at any time. Users will be notified of material changes that affect existing functionality.
7. Payment for Services
7.1 Pinetco operates on a credit-based pricing model. Users purchase credits in advance, which are consumed when generating documents. The credit cost per document depends on the template configuration, the features enabled, and the complexity of the document. Detailed and up-to-date pricing is displayed within the Platform before any chargeable action is initiated.
7.2 Credits are purchased through the provided payment methods and are added to the user's organizational wallet. Payment is due at the time of purchase.
7.3 Credits do not expire. Purchased credits remain available in the user's wallet indefinitely, as long as the account remains active.
7.4 Credits are non-refundable. Upon termination of the contract, any remaining unused credits are forfeited and will not be refunded.
7.5 Users may enable an auto-charge feature, which automatically purchases additional credits when the wallet balance falls below a configured threshold. By enabling auto-charge, the user authorizes Pinetco to charge the stored payment method automatically. The user may disable auto-charge at any time through the Platform settings.
7.6 Pinetco reserves the right to change credit pricing and per-document feature costs with at least 30 days' notice to existing users. Updated pricing will apply to credits purchased and documents generated after the effective date of the change.
7.7 Pinetco will provide transparent pricing information within the Platform, including credit costs per document and per feature, before the user initiates any chargeable action.
8. Free Tier and Trial Usage
8.1 New users receive 100 free watermarked test documents upon registration. Documents generated during the trial period will include a visible watermark indicating they are test documents.
8.2 Test documents are intended for evaluation purposes only. To generate documents without watermarks, users must purchase credits.
8.3 Pinetco reserves the right to modify or discontinue the free tier at any time. Changes to the free tier do not affect trial allowances already granted to existing users.
9. Contract Duration, Termination
9.1 The contract is concluded for an indefinite period. The user may terminate this contract at any time, without notice and without stating reasons. Pinetco does not impose lock-in periods, cancellation fees, or minimum contract durations.
9.2 Upon termination by the user, no further costs will be generated. Any remaining unused credits in the user's wallet are forfeited and will not be refunded. Since Pinetco does not store generated documents, users should ensure they have saved all necessary documents before terminating their account.
9.3 Upon termination, Pinetco will delete the user's account data, including templates, configurations, and stored settings, within a reasonable period. The user is responsible for exporting or backing up any data they wish to retain before terminating their account. HubSpot connection data and tokens will be revoked immediately upon termination.
9.4 This does not affect the right of the parties to terminate the contractual relationship through extraordinary termination for good cause. For Pinetco, good cause exists if the user persistently violates their obligations.
9.5 Termination by Pinetco is considered legally valid if a corresponding notification is sent to the email address provided by the user.
10. Warranty and Liability
10.1 Pinetco is only liable for contract-typical, reasonably foreseeable damages. This limitation of liability does not apply to damages resulting from injury to life, body, and health, or in cases of intent and gross negligence.
10.2 Pinetco is not responsible for the availability or functionality of third-party services, including HubSpot and Google Drive, that the Platform integrates with.
10.3 Pinetco is not liable for the accuracy, completeness, or legality of data retrieved from the user's HubSpot account or other connected services for use in document generation.
10.4 Pinetco strives to offer uninterrupted operation of the Platform. Complete, seamless availability of the Platform is technically not feasible.
10.5 Pinetco is not liable for any loss resulting from the user's failure to retain copies of generated documents, given that the Platform does not provide permanent document storage.
11. Data Protection
11.1 Data protection is governed by the privacy policy of Pinetco, which can be accessed here.
12. Alternative Dispute Resolution
12.1 The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr/. Pinetco is not obligated to participate in dispute resolution proceedings before a consumer arbitration board.
13. Final Provisions
13.1 These terms and the entire contractual relationship between the user and Pinetco are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
13.2 This contract remains binding in its remaining parts even if individual points are legally invalid. The statutory provisions shall take effect in place of the invalid points.
13.3 Amendments and supplements to the contract require written form.
13.4 In all disputes, the lawsuit must be filed with the court responsible for the registered office of Pinetco, whereby mandatory provisions remain unaffected.
13.5 Pinetco will inform the user of changes to these conditions in advance at least in text form. Material changes — including changes to pricing, features, or these terms — require the user's explicit consent. For non-material changes, if the user does not object within at least 4 weeks of notification, this shall be deemed consent to the change.
